Terms of Service

By accessing or using Hoopi (app.hoopi.ai), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the service. If you are using Hoopi on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

Hoopi is a multi-tenant AI agent platform that enables users to interact with AI agents, connect third-party integrations, manage files and knowledge bases, schedule automated tasks, and collaborate within workspaces. The platform processes user inputs through third-party AI model providers to generate responses and perform actions on behalf of users.

You must be at least 18 years old to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information when creating your account and to keep it up to date. You may authenticate via email/password or through third-party OAuth providers (Google, Slack, Microsoft).

Hoopi organizes activity into workspaces. Workspace owners can invite members, assign roles, and manage workspace settings. All data within a workspace — conversations, files, skills, integrations, and memory — is scoped to that workspace. Workspace owners are responsible for the conduct of their members and the content processed through their workspace.

You retain all rights to the content you upload, create, or process through Hoopi, including files, documents, conversation data, and knowledge base entries ("Your Content"). By using the platform, you grant us a limited license to process, store, and transmit Your Content solely to provide, maintain, and improve the Hoopi service for your account. You represent that you have the necessary rights to Your Content and that its use does not violate any third-party rights or applicable laws.

Hoopi generates content using third-party AI models. AI-generated responses are provided for informational purposes and may not always be accurate, complete, or appropriate. You are responsible for reviewing and validating AI-generated outputs before relying on them, especially in contexts involving legal, financial, medical, or other high-stakes decisions. Hoopi does not guarantee the accuracy, reliability, or suitability of any AI-generated content.

Hoopi integrates with third-party services (such as Google, Slack, Microsoft, Shopify, and others). Your use of these integrations is subject to their respective terms and privacy policies. When you connect an integration, you authorize Hoopi to access data from that service on your behalf to the extent necessary to provide the platform's functionality. We are not responsible for the availability, accuracy, or practices of third-party services.

You agree not to use Hoopi for any unlawful purpose or in violation of these terms. You agree not to use the platform to generate content that is illegal, harmful, abusive, defamatory, or that promotes illegal activities. You agree not to attempt to reverse engineer, decompile, or extract the underlying models, algorithms, or source code of the platform. You agree not to use automated means to access the service in a manner that sends more request messages than a human can reasonably produce in the same period.

Paid plans are billed monthly or annually as selected during signup. Annual billing provides a discount compared to monthly billing. Fees are non-refundable except as required by applicable law. Credit-based usage is subject to your plan's allocation; unused monthly credits do not roll over. Purchased credit top-ups do not expire. We may change our pricing with 30 days' notice; changes will not affect your current billing cycle.

Your data is stored on cloud infrastructure provided by third-party providers. File uploads are stored in cloud object storage. Conversation logs and platform data are stored in managed databases. We implement encryption in transit (TLS) and at rest for stored data. Data is logically isolated per workspace to prevent unauthorized cross-workspace access.

The Hoopi platform, including its software, design, branding, and documentation, is owned by Hoopi, Inc. and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the platform without our express permission. All feedback you provide about the service may be used by us without obligation to you.

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THAT AI-GENERATED RESPONSES WILL ALWAYS BE ACCURATE OR APPROPRIATE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOOPi, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

You may terminate your account at any time through the platform settings. We may suspend or terminate your account for violation of these terms, with notice where reasonably possible. Upon termination, your right to use the service ceases. Your content will be retained for a reasonable period and then deleted in accordance with our data retention practices.

We may update these Terms of Service from time to time. Material changes will be communicated via email or platform notification. Continued use of the platform after changes take effect constitutes acceptance of the revised terms.

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the courts located in Delaware.
